Terms and conditions for using Local Assistant

DW Innovation Local Assistant License

Version 1.0 - Effective Date: April 2026

This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and DW Innovation ("Company", "we", "us", or "our") for the use of Local Assistant software ("Software").

1. Grant of License

Subject to the terms of this Agreement, DW Innovation grants you a non-exclusive, non-transferable license to:

  • Personal Use: Use the Software for personal, non-commercial purposes without charge.
  • Commercial Use: Use the Software for commercial purposes within your organization without charge.

2. Restrictions

You may NOT:

  • Modify: Modify, alter, adapt, translate, or create derivative works based on the Software.
  • Redistribute: Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party.
  • Reverse Engineer: Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software.
  • Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Resell: Sell, resell, or offer for sale the Software or any portion thereof.
  • Rebrand: Use the Software as a basis for a competing product or service.

3. Intellectual Property

The Software and all copies thereof are proprietary to DW Innovation and title thereto remains exclusively with DW Innovation. All rights in the Software not specifically granted in this Agreement are reserved to DW Innovation.

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

4. Third-Party Components

The Software may include or require third-party software components that are subject to their own license terms. These include, but are not limited to:

  • Ollama: Required AI backend - subject to its own license terms at ollama.ai
  • Python: Programming language - subject to the Python Software Foundation License
  • Flask: Web framework - subject to the BSD License

Your use of these components is governed by their respective licenses.

5. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

DW Innovation does not warrant that the Software will meet your requirements, that the operation of the Software will be uninterrupted or error-free, or that defects in the Software will be corrected.

6. Limitation of Liability

IN NO EVENT SHALL DW INNOVATION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

7. Privacy

The Software is designed to run locally on your computer. Your conversations and data are stored locally and are not transmitted to DW Innovation or any third party, except when you explicitly enable optional features such as web search.

DW Innovation does not collect, store, or process your personal data through the Software.

8. Updates

DW Innovation may, at its sole discretion, release updates, patches, or new versions of the Software. This license applies to any updates unless they are accompanied by a separate license agreement.

9. Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and DW Innovation relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.

By downloading, installing, or using Local Assistant, you acknowledge that you have read, understood, and agree to be bound by the terms of this License Agreement.
